Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Roninverse Studio ("we", "us", or "our"), a software development and digital products studio based in Malaysia, operating at roninverse.studio.

By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Roninverse Studio provides software development and digital product services including, but not limited to:

• Website design and development
• Web application development (SaaS, dashboards, business tools)
• Mobile application development
• Digital growth services (SEO, performance optimisation)

The scope, timeline, and deliverables for each project are defined in a separate project proposal or agreement between you and Roninverse Studio.

Each engagement is governed by a project-specific proposal or statement of work that outlines scope, deliverables, timelines, and pricing. In the event of a conflict between these Terms and a project agreement, the project agreement takes precedence for that engagement.

All payments are processed through Stripe invoice links. We do not collect or store payment card information on our servers.

• Payment terms, amounts, and schedules are specified in each project agreement.
• Unless otherwise agreed, a deposit is required before work begins.
• Late payments may result in work suspension until the outstanding balance is settled.
• All prices are quoted in Malaysian Ringgit (RM) unless otherwise stated.

Unless otherwise specified in a project agreement:

• Upon full payment, you receive ownership of the custom code, designs, and deliverables created specifically for your project.
• We retain ownership of pre-existing tools, libraries, frameworks, and reusable components developed independently of your project.
• We reserve the right to showcase completed work in our portfolio unless you request otherwise in writing.

You agree to:

• Provide accurate and timely information, content, and feedback required for the project.
• Designate a point of contact for project communications.
• Review and approve deliverables within agreed timeframes.
• Ensure that any materials you provide do not infringe third-party rights.

Each project agreement specifies the number of revision rounds included. Additional revisions or changes to the agreed scope may incur extra charges, which will be communicated and agreed upon before work proceeds.

We strive to deliver high-quality work. However, our services are provided "as is" and "as available". We do not warrant that:

• Our services will meet all of your requirements beyond the agreed scope.
• Deliverables will be error-free or uninterrupted.
• Any specific business outcome or result will be achieved.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, Roninverse Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of our services.

Our total liability for any claim related to our services shall not exceed the total amount paid by you for the specific project in question.

Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination:

• Payment is due for all work completed up to the termination date.
• Deliverables completed and paid for will be transferred to you.
• Work-in-progress may be delivered at our discretion upon payment.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the engagement.

Our deliverables may integrate with or depend on third-party services (hosting providers, payment processors, APIs, etc.). We are not responsible for the availability, terms, or performance of these third-party services.

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised Terms.
